Seeking Comments About Material Transactions

Welcome!  

The Department of Health is eager to receive feedback from the public about material transactions in New York State. Material transactions are business deals or other business actions (like reorganization) so significant that they alter a company’s financial standing or operations in a substantial way. We want to know if any transactions are likely to affect the cost, quality, access, and competition for health care services that you have received. For example, we want to hear from you if you believe that the merger of two health care companies will increase care costs or wait times for patients.

How to Submit Comments

The form below offers you a way to express your satisfaction, concern, or any other observations about material transactions. Your comments will be reviewed by Department of Health staff. We will post them, without your name attached, on the material transactions website for viewing by the public. If you do not want the public to view your comments, you need to state this in your submission.

Health Care Entities Need to Inform New York State. It’s the Law.

Since August 1, 2023, health care entities in New York State need to let the New York State Department of Health know about material transactions. Examples of entities covered under the law include physician and dental offices, health insurance plans, pharmacies, and clinical laboratories.  These notices are due at least 30 days before the transaction closes. This law is enacted in Article 45-A of the Public Health Law.

Filling out the Form:
  • Provide comments, feedback, or helpful details about proposed material transactions listed on the Department's website. 
  • There is no deadline. You may send comments at any time, even after the transaction closes.
  • Let us know which transaction you are commenting on. Be sure to include the transaction’s name. You can find party names here: List of Material Transactions
  • Please keep your comments brief and to the point. Base them on facts and be sure they are directly related to the transaction you are writing about. You may include documents to support your comments. 
  • Fill in all the spaces that are marked required. Do not leave any empty spaces. Forms that are not fully complete cannot be accepted.
  • Do not include sensitive, private, personal or business information.
  • By submitting this form, you are saying that the information you’re providing is correct to the best of your knowledge. It is being submitted in good faith. 
  • Your comments may be posted on the website, which is viewed by the public. Or it made be viewed by others, including staff in the Department of Health or other state agencies.
  • Provide your correct contact information as we may need to ask you more questions. Providing your contact information does not mean you will receive a letter, text, or email from us.
  • All questions on the form that include an asterisk (*) are required and must be answered before being able to move on. Questions that do not have an asterisk (*) are optional. They do not need to be answered.
