On July 4, 2026, the nation will mark the 250th anniversary of the Declaration of Independence. Moments That Made US is a free, customizable, print-on-demand exhibition exploring the ideals at the heart of the Declaration of Independence through moments in our history that have defined their meaning. It does so in a user-friendly format that organizations can adapt, afford, and make their own. Developed through a multi-state collaboration, this exhibition will feature 21 ready-to-use panels.

Print-on-Demand Exhibit License Agreement

This LICENSE AGREEMENT (the “Agreement”) is made by and between the State of Colorado, by and through History Colorado (“History Colorado”), with offices located at 1200 Broadway, Denver, CO 80203, and the Licensee undersigned below. History Colorado and Licensee are each individually a “Party” and together the “Parties.”

NOW, THEREFORE, in consideration of the mutual covenants, terms, and conditions set forth herein, and for other good and valuable consideration, the receipt and sufficiency of which are hereby acknowledged, the Parties agree as follows:

Defined Terms.
1. “Effective Date” means the date this agreement is signed by the Licensee.
2. “End Users” means local museums, historical societies, cultural institutions, schools, libraries, and other such cultural or educational organizations to whom Licensee may distribute the Exhibit for display in accordance with the Purpose.
3. “Exhibit” means the Moments that Made US exhibit, consisting of printable exhibit panels containing informational text, photographs, and graphics about events from American history, and customizable panel templates which Licensees and End Users may use to present Region-Specific Information.
4. “Implementation Guide” means the State’s parameters for the use of the Moments That Made US Print On Demand digital files, available at https://drive.google.com/file/d/12EWSPiXgB7Dm_3oO_pAx5wLcCq3_ISv7/view?usp=sharing.
5. “Purpose” means recognition of the 250th anniversary of the Declaration of Independence and efforts to increase public awareness of the national and regional history by means of public display of the Exhibit.
6. “Region-Specific Information” means informational text, photographs, and/or graphics developed by Licensees and/or End Users concerning the Licensee’s local, state, territory, or regional history for incorporation into the Exhibit.
Acknowledgment of Ownership.
1. Except for the licenses expressly granted to Licensee in this Agreement, Licensee acknowledges that History Colorado owns all right, title, and interest in and to the Exhibit. To the extent Licensee acquired any rights in the Exhibit by operation of law or otherwise, Licensee hereby irrevocably assigns such rights to History Colorado without further action by either party. Licensee agrees not to dispute or challenge or assist any person or entity in disputing or challenging History Colorado’s rights in and to the Exhibit.
2. History Colorado makes no claim of right, title or interest in and to any Region-Specific Information which Licensee or End Users may develop.
License.
1. Grant of Rights. Subject to the terms and conditions of this Agreement, Licensor hereby grants to Licensee during the Term (as defined below) a non-exclusive, non-transferable, non-sublicensable license, solely to publish, reproduce, display, and distribute the Exhibit in furtherance of the Purpose, subject to the requirements and limitations in Section 4.
2. Distribution to End Users. Licensee may distribute the Exhibit to End Users subject to the requirements and limitations in Section 4. Licensee shall not sell, lease, rent, loan, transfer, or distribute the Exhibit to any other third parties.
3. Reservation of Rights. Licensor reserves all rights not expressly granted to Licensee under this Agreement.
Requirements and Limitations. Licensee’s grant of rights is subject to the following requirements and limitations:
1. Implementation Guide. Licensee must follow the Implementation Guide in all aspects related to the Exhibit, including but not limited to printing, enlarging, and displaying the Exhibit.
2. Display Options. Licensee and End Users need not display the Exhibit in its entirety and may choose which Exhibit panels to display.
3. Region-Specific Information. Licensee and/or End Users may develop Region-Specific Information and incorporate it into the Exhibit’s customizable panel templates.
4. No Modifications. Other than the development and inclusion of Region-Specific Information, Licensee and End Users may not make any edits, changes or modifications to the Exhibit’s text, photographs, graphics, or layout without written permission from History Colorado.
5. No Other Trademarks. Other than as permitted by the Implementation Guide, Licensee and End Users may not use any other trademark, service mark, trade name, logo, design or symbol in combination with the Exhibit.
6. No Reproduction for Purposes Other than Display and Exhibit Promotion. Licensee and End Users may reproduce the Exhibit for display in accordance with the Purpose and to promote the Exhibit in materials such as marketing collateral, promotional websites, or press releases. Licensee and End Users must obtain History Colorado’s prior written permission before reproducing any aspect of the Exhibit for any other reasons, including but not limited to merchandising.
7. Compliance with Law. Licensee and End Users must use the Exhibit in compliance with all applicable local, state, and federal laws.
8. No Abuse, Harassment, or Obscenity. Licensee and End Users must not use the Exhibit in connection with any activity that History Colorado in its sole discretion deems to be threatening, intimidating, abusive, libelous, defamatory, obscene, pornographic, or illegal.
No Warranties. LICENSOR HEREBY DISCLAIMS ALL WARRANTIES, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE, WITH RESPECT TO THE LICENSED PROPERTY, INCLUDING SPECIFICALLY ANY IMPLIED WARRANTY OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, AND WARRANTIES THAT MAY ARISE OUT OF COURSE OF DEALING, COURSE OF PERFORMANCE, USAGE, OR TRADE PRACTICE.
Term and Termination.
1. Term. The “Term” of this Agreement shall begin on the last date of execution set forth on the signature page until December 31, 2027, unless terminated sooner pursuant to the terms herein.
2. Termination by Licensor. History Colorado may terminate this Agreement at any time without cause by providing at least 30 (thirty) days’ prior written notice to Licensee.
3. Effect of Termination. On the expiration or termination of this Agreement for any reason, all rights licensed under this Agreement will revert immediately to Licensor.
  1. Retention by Licensee and End Users. Licensee and End Users may retain photos of the Exhibit for internal record-keeping. Licensee and End Users may also retain digital and physical copies of panels containing Region-Specific Information.
  2. Destruction Requirements. Upon termination, History Colorado may require Licensee and/or End Users to delete or destroy all physical and/or digital copies of the Exhibit in their possession, with the exception of panels containing Region-Specific Information. Upon History Colorado’s request, Licensee shall provide written confirmation to History Colorado confirming such deletion or destruction.
Remedies.
1. Equitable Relief. Licensee acknowledges that a breach by Licensee of this Agreement may cause Licensor irreparable damages, for which an award of damages would not be adequate compensation, and agrees that, in the event of such breach or threatened breach, Licensor will be entitled to seek equitable relief, including a restraining order, orders for a preliminary or permanent injunction, specific performance, and any other relief that may be available from any court, in addition to any other remedy to which Licensor may be entitled at law or in equity. Such remedies are not exclusive but are in addition to all other remedies available at law or in equity, subject to any express exclusions or limitations in this Agreement to the contrary.
2. Limitation of Liability. TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, LICENSOR WILL NOT BE LIABLE UNDER OR IN CONNECTION WITH THIS AGREEMENT FOR ANY CONSEQUENTIAL, INCIDENTAL, INDIRECT, EXEMPLARY, SPECIAL, PUNITIVE, OR ENHANCED DAMAGES, OR FOR ANY LOSS OF ACTUAL OR ANTICIPATED PROFITS (REGARDLESS OF HOW THESE ARE CLASSIFIED AS DAMAGES), WHETHER ARISING OUT OF BREACH OF CONTRACT, TORT (INCLUDING NEGLIGENCE), OR OTHERWISE (INCLUDING THE ENTRY INTO, PERFORMANCE, OR BREACH OF THIS AGREEMENT), REGARDLESS OF WHETHER SUCH DAMAGE WAS FORESEEABLE AND WHETHER LICENSOR HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
General.
1. Assignment. Licensee’s rights and obligations under this Agreement are personal and may not be transferred or assigned without the prior, written consent of History Colorado. Any attempt at assignment or transfer without such consent shall be void. Any assignment or transfer of Licensee’s rights and obligations approved by History Colorado shall be subject to the provisions of this Agreement. This Agreement is binding upon and inures to the benefit of the Parties hereto and their respective permitted successors and assigns.
2. Authority. Each Party represents and warrants to the other that the execution and delivery of this Agreement and the performance of such Party’s obligations have been duly authorized.
3. Entire Agreement. This Agreement, including and together with any related attachments, is the sole and entire agreement of the Parties with respect to the subject matter herein, and supersedes all prior and contemporaneous understandings, agreements, representations, and warranties, whether written or oral, with respect to such subject matter.
4. Prohibited Terms. Any term included in this Agreement that requires the State to indemnify or hold any Party harmless; requires the State to agree to binding arbitration; limits a Party’s liability for damages resulting from death, bodily injury, or damage to tangible property; or that conflicts with this provision in any way shall be void ab initio. Nothing in this Agreement shall be construed as a waiver of any provision of § 24-106-109, C.R.S.
5. Relationship of the Parties. Nothing contained in this Agreement will be construed as creating any agency, partnership, joint venture, or other form of joint enterprise, employment, or fiduciary relationship between the Parties, and neither Party has authority to contract for or bind the other Party in any manner whatsoever.
6. Severability. The invalidity or unenforceability of any provision of this Agreement shall not affect the validity or enforceability of any other provision of this Agreement, which shall remain in full force and effect, provided that the Parties can continue to perform their obligations under this Agreement in accordance with the intent of this Agreement.
7. Survival. Sections 1, 2, 5, 6, 7, and 8 of this Agreement, as well as any other provisions that by their nature should survive, shall survive any termination of this Agreement.
8. No Third-Party Beneficiaries. None of the provisions of this Agreement shall be for the benefit of, or enforceable by, any third party.
9. Waiver. No waiver by any Party of any of the provisions hereof will be effective unless explicitly set forth in writing and signed by the waiving Party. No waiver by any Party will operate or be construed as a waiver of any failure, breach, or default not expressly identified by such written waiver, whether of a similar or different character, and whether occurring before or after that waiver. Except as otherwise set forth in this Agreement, no failure to exercise, or delay in exercising, any right, remedy, power, or privilege arising from this Agreement will operate or be construed as a waiver thereof. No single or partial exercise of any right, remedy, power, or privilege hereunder will preclude any other or further exercise thereof or the exercise of any other right, remedy, power, or privilege.
10. Counterparts. This Agreement may be executed in counterparts, each of which is deemed an original, but all of which together are deemed to be one and the same agreement. A signed copy of this Agreement delivered by facsimile, email, or other means of electronic transmission is deemed to have the same legal effect as delivery of an original signed copy of this Agreement.
