LIMITED LICENSE AGREEMENT FOR USE OF PHOTOGRAPHS
This Limited License Agreement ("Agreement") is entered into by and between the Center for Energy and Environment ("Licensor") and the individual or entity ("Licensee") accepting this Agreement through the required click-to-accept mechanism. By downloading and using media assets, or otherwise accessing the licensed photographs ("Licensed Materials"), Licensee agrees to be bound by the terms and conditions set forth herein.
1. GRANT OF LICENSE
Licensor grants Licensee a limited, non-exclusive, non-transferable, revocable license to use the Licensed Materials solely for the purpose of promotion and awareness in the market. This license enables reusers to distribute, remix, adapt, and build upon the material in any medium or format, so long as attribution is given to the creator. The license allows for commercial use. If you remix, adapt, or build upon the material, you must license the modified material under identical terms.
2. RESTRICTIONS ON USE
Licensee expressly agrees to the following restrictions:
- The Licensed Materials may not be sublicensed, transferred, assigned, or otherwise distributed to any third party.
- The Licensed Materials may not be used in a manner that directly competes with Licensor’s business or interests.
- Licensee shall not alter, edit, or create derivative works from the Licensed Materials unless expressly authorized by Licensor.
- Licensee shall not remove, obscure, or modify any copyright, trademark, or other proprietary notices contained within the Licensed Materials.
3. DURATION OF LICENSE
This license is granted for an
indefinite duration, subject to termination as outlined in Section 5.
4. TERMINATION
Licensor reserves the right to terminate this Agreement and revoke Licensee’s access to the Licensed Materials under the following conditions:
- If Licensee breaches any terms of this Agreement.
- For any reason, at Licensor’s sole discretion, with or without prior notice.
Upon termination, Licensee must immediately cease all use of the Licensed Materials and delete or destroy any copies in their possession.
5. DISCLAIMER OF WARRANTIES
The Licensed Materials are provided "AS IS" without warranties of any kind, express or implied. Licensor makes no guarantees regarding the accuracy, quality, or fitness for a particular purpose of the Licensed Materials.
6. LIMITATION OF LIABILITY
To the maximum extent permitted by law, Licensor shall not be liable for any indirect, incidental, consequential, or special damages arising out of or related to this Agreement or Licensee’s use of the Licensed Materials.
7. GOVERNING LAW
This Agreement shall be governed by and construed in accordance with the laws of the
State of Minnesota, without regard to its conflict of law principles.
8. ACCEPTANCE OF TERMS
By clicking "Accept" and accessing the Licensed Materials, Licensee acknowledges that they have read, understood, and agree to be bound by this Agreement.
