The Board, except for the Initial Board, shall be elected by the Members at the annual meeting using an appropriate method determined by the Board before January 1st of each year. Newly elected Directors will begin their term on January 1st of the year following their election. The initial elected Directors will be divided into three classes with staggered terms: one class serving for one year, the second for two years, and the third for three years. After this initial structure, approximately one-third of the Board will be elected each year to serve three-year terms, ensuring continuity and staggered leadership transitions.
Directors may not serve more than three three-year terms, whether consecutive or non-consecutive. If a Director leaves before completing a term, that term will still count as a full term for the purpose of term limits. Any Director who had already reached this limit before the amendment’s approval may serve one final term following their current term if re-elected.
