CONFERENCE TICKET TERMS AND CONDITIONS

1. INTRODUCTION
1.1 The Music Cities Events conferences are organised and managed by "Music Cities Events LTD“ part of "Sound Diplomacy” (meaning Sound Diplomacy UK Limited, Sound Diplomacy Holdings Limited and any and all sister companies and or divisions of the aforementioned companies).
1.2 All applications to register for the conference, and all orders to purchase the relevant conference ticket, are made subject to these Terms & Conditions (which shall apply to the exclusion of any terms imposed by you).
2. BOOKINGS
2.1 All applications to register for the conference are subject to availability and you making full payment.
2.2 Delegate passes issued for use at the conference are valid for named attendee only and, subject to clause 4.2 below, cannot be transferred. You may be asked for photographic ID during the conference. If you are unable to provide identification which matches your delegate pass you may be asked to leave the conference.
3. PRICES AND PAYMENT
3.1 Our prices for attending the conference are set out on the relevant registration booking form or the relevant purchase order form or can otherwise be obtained from us upon request or from our website. Prices may be subject to change from time to time.
3.2 Taxes. The fee(s) may be subject sales tax, value added tax, or any other taxes and duties which, if applicable, will be charged to you in addition to the fee(s).
4. CHANGES TO THE CONFERENCE AND CANCELLATIONS
4.1 It may be necessary for reasons beyond our reasonable control to alter the advertised content, timing and/or location of the conference or the advertised speakers. We reserve the right to do this at any time. Where we alter the time and/or location of the conference, we will provide you with notice of the same and will offer you the choice of either a credit for a future event of your choice (up to the value of sums paid by you in respect of the conference) or the opportunity to attend the conference as varied.
4.2 If you are unable to attend the conference we welcome substitute delegates attending in your place at no extra cost provided that we have at least 2 days prior notice of the name of your proposed substitute and have received payment in full. Please notify us of any substitutions by email at: alice@sounddiplomacy.com.
4.3 No refunds will be given in respect of non-attendance. Refunds will be given if a written request has been received at least one week before the event start date. If you cancel within 1 week of the date of the Event, you will not be eligible for a refund.
4.4 We shall not be liable to you for travel, accommodation or other costs and expenses incurred (included wasted costs and expenses) if we are required to cancel or relocate the conference as a result of an event outside our control (including, without limitation, to acts of God, floods, lightning, storm, fire, explosion, war, military operations, acts of terrorism or threats of any such acts, any strike action, lock-outs or other industrial action and a pandemic, epidemic or other widespread illness).
5. CONTENT
5.1 All rights in all presentations, documentation and materials published or otherwise made available as part of the conference (including but not limited to any documentation packs or audio or audio-visual recording of the conference) (“Content”) are owned by us or are included with the permission of the owner of the rights. No (i) photography, filming or recording; or (ii) republication, broadcast or other dissemination of the Content is permitted. You shall not distribute, reproduce, modify, store, transfer or in any other way use any of the Content (save that use by the relevant delegate for internal business purposes shall be permitted), and in particular (but without limitation) you shall not (and shall procure that each of your delegates shall not):
5.1.1 upload any Content into any shared system;
5.1.2 include any Content in a database;
5.1.3 include any Content in a website or on any intranet;
5.1.4 transmit, re-circulate or otherwise make available any Content to anyone else;
5.1.5 make any commercial use of the Content whatsoever; or
5.1.6 use Content in any way that might infringe third party rights or that may bring us or any of our affiliates into disrepute.
5.2 The Content does not necessarily reflect our views or opinions.
6. LIABILITY
6.1 Subject to Clause 6.4, our aggregate liability to you, whether such liability arises in contract, tort (including negligence) or otherwise, for any damages, loss, costs, claims or expenses of any kind howsoever arising, out of in connection with any booking (or requested booking) made by you or otherwise in relation to a conference, shall be limited to the price paid by you in respect of your booking to attend the conference.
6.2 Subject to Clause 6.4, we shall not be liable to you for (i) any loss of profit, loss of or damage to data, loss of anticipated savings or interest, loss of or damage to reputation or goodwill or; (ii) any indirect, special or consequential damages, loss, costs, claims or expenses of any kind.
6.3 You agree to indemnify us, our staff and our affiliates and to hold us harmless to the fullest extent permitted by law, against all loss, costs, claims or expenses of any kind arising from any act or omission by you (including your delegates) during or otherwise in relation to a conference.
6.4 Nothing in these Terms and Conditions shall limit or exclude either party's liability for:
6.4.1 death or personal injury caused by that party's negligence, or the negligence of that party's employees, agents or subcontractors;
6.4.2 fraud or fraudulent misrepresentation; or
6.4.3 any other liability which cannot be limited or excluded by applicable law.
7. GENERAL
7.1 These Terms and Conditions (together with any documents referred to herein or required to be entered into pursuant to these Terms and Conditions) contain the entire agreement and understanding between us and supersede all prior agreements, understandings or arrangements (both oral and written) relating to the subject matter of these Terms and Conditions and any such document.
7.2 You acknowledge that in registering a delegate place you have not relied on, and shall have no remedy in respect of, any statement, representation, warranty, understanding, promise or assurance (whether negligently or innocently made) of any person other than as expressly set out in these Terms and Conditions.
7.3 These Terms and Conditions shall not create, nor shall they be construed as creating, any partnership or agency relationship between us.
7.4 You accept that communication with us may be electronic. We may contact you by e-mail or provide you with information by posting notices on our website. You agree to this electronic means of communication and you acknowledge that all such communications that we provide to you electronically comply with any legal or contractual requirement that such communication be made in writing.
7.5 Save as set out in Clause 4.2 you are not permitted to re-sell, transfer, assign or otherwise dispose of any of your rights or obligations arising under these Terms and Conditions.
7.6 These Terms and Conditions and the rights and obligations of both parties shall be governed by, and construed in accordance with, the laws of England and Wales and both parties irrevocably agree to submit to the exclusive jurisdiction of the courts of England and Wales in respect of any dispute which arises hereunder.
8. PRIVACY POLICY
8.1 In accordance with GENERAL DATA PROTECTION REGULATION, 2016/679 UE (GDPR), MUSIC CITIES EVENTS wishes to inform our web users about the following items:
The information MUSIC CITIES EVENTS receives within its different services is processed with maximum confidentiality and security, and will be incorporated into an automated file according to GDPR Regulation.
Moreover, this information is used exclusively by MUSIC CITIES EVENTS for purposes related to each product and service we provide you, and commercial relationship with its clients, and will not be communicated to third parties unless MUSIC CITIES EVENTS is required to do so by authorities, or it is public information.
Interested parties may exercise their rights to access, rectification, supression, portability, and opposition or limitation of data processing against MUSIC CITIES EVENTS by contacting MUSIC CITIES EVENTS, who is responsible for the file, to this effect, at the following address: MUSIC CITIES EVENTS 49 Southwark Street, London, SE1 1RU with a signed written document sent by mail to alice@sounddiplomacy.com.
MUSIC CITIES EVENTS will protect all personal data and will adopt all the necessary measures in order to avoid its alteration, loss, and unauthorized processing or access. MUSIC CITIES EVENTS will fulfil this obligation in agreement with what is established in applicable regulations (General Data Protection Regulation (EU) 2016/679, and further dispositions).
8.2 Media. By attending the Event you acknowledge and agree to grant MUSIC CITIES EVENTS the right at the Event to record, film, photograph or capture your likeness in any media now available and hereafter developed and to distribute, broadcast, use or otherwise globally to disseminate, in perpetuity, such media without any further approval from you or any payment to you.
8.3 This grant to MUSIC CITIES EVENTS includes, but is not limited to, the right to edit such media, the right to use the media alone or together with other information, and the right to allow others to use and/or disseminate the media
8.4 This grant to MUSIC CITIES EVENTS includes the right to specifically disseminate this media on the following platforms: Facebook, Twitter, LinkedIn, Instagram, our event website, our Music Cities Community backend, our event reports, our event app, our event partners social media platforms and website, our sponsorship documents, in our newsletter emails.
9. COVID-19 SAFETY INFORMATION
9.1 Because COVID-19 is extremely contagious and is spread mainly from person-to-person contact, MUSIC CITIES EVENTS has put in place preventative measures to reduce the spread of COVID-19. However, MUSIC CITIES EVENTS cannot guarantee that its participants, volunteers, partners, or others in attendance will not become infected with COVID-19.
9.2 In light of the ongoing spread of COVID-19, individuals who fall within any of the categories below should not engage in MUSIC CITIES EVENTS face to face activities. By attending an event by MUSIC CITIES EVENTS, you certify that you do not fall into any of the following categories:
9.2.1. Individuals who currently or within the past fourteen (14) days have experienced any symptoms associated with COVID-19, which include fever, cough, and shortness of breath among others;
9.2.2. Individuals who believe that they may have been exposed to a confirmed or suspected case of COVID-19 or have been diagnosed with COVID-19 and are not yet cleared as non-contagious by state or local public health authorities or the health care team responsible for their treatment.
9.3 Duty to Self-Monitor
Participants and volunteers agree to self-monitor for signs and symptoms of COVID-19 (symptoms typically include fever, cough, and shortness of breath) and, contact MUSIC CITIES EVENTS at alice@sounddiplomacy.com if experiencing symptoms of COVID-19 within 14 days after participating in an event by MUSIC CITIES EVENTS.
9.4 Liability Waiver and Release of Claims
I hereby release, waive and forever discharge any and all liability, claims, and demands of whatever kind or nature against MUSIC CITIES EVENTS and its affiliated partners and sponsors, including in each case, without limitation, their directors, officers, employees and volunteers, either in law or in equity, to the fullest extent permissible by law, including but not limited to damages or losses caused by the negligence, fault or conduct of any kind on the part of the released parties, including but not limited to death, bodily injury, illness, economic loss or out of pocket expenses, or loss or damage to property, which I, my heirs, assignees, next of kin and/or legally appointed or designated representatives, may have or which may hereinafter accrue on my behalf, which arise or may hereafter arise from my participation with the activity.
9.5 Assumption of the Risk. I acknowledge and understand the following:
9.5.1. Participation includes possible exposure to and illness from infectious diseases including but not limited to COVID-19. While particular rules and personal discipline may reduce this risk, the risk of serious illness and death does exist;
9.5.2. I knowingly and freely assume all such risks related to illness and infectious diseases, such as COVID-19, even if arising from the negligence or fault of the Released Parties; and
9.5.3 I hereby knowingly assume the risk of injury, harm and loss associated with my participation in the event, including any injury, harm and loss caused by the negligence, fault or conduct of any kind on the part of the Released Parties.
9.6 Medical Acknowledgment and Release.
9.6.1 I acknowledge the health risks associated with the event, including but not limited to transient dizziness, lightheaded, fainting, nausea, muscle cramping, musculoskeletal injury, joint pains, sprains and strains, heart attack, stroke, or sudden death. I agree that if I experience any of these or any other symptoms during the event, I will discontinue my participation immediately and seek appropriate medical attention.
9.6.2 2 I do hereby release and forever discharge the released parties from any claim whatsoever which arises or may hereafter arise on account of any first aid, treatment, or service rendered in connection with my participation in the event.
9.6.3 By attending and/or participating in the event, you are deemed to have given a full release of liability to the released parties to the fullest extent permitted by law.
10 ADDITIONAL TERMS
10.1 If any portion of these Terms of Use is invalid or unenforceable in any jurisdiction, then (i) in that jurisdiction it shall be re-construed to the maximum effect permitted by law in order to effect its intent as nearly as possible, and the remainder of these Terms of Use shall remain in full force and effect, and (ii) in every other jurisdiction, all of these Terms of Use shall remain in full force and effect.
10.2 We may revise these Terms of Use at any time in our sole discretion by posting such revised Terms of Use at the Terms of Use link (i.e. this webpage that you are currently viewing) or elsewhere in this Website. Such revisions shall be effective as to you upon posting, unless explicitly stated by us. It is your responsibility to be aware of any such revised Terms of Use by checking this webpage. Your continued use of this Website following changes to these Terms of Use constitutes your agreement to the revised Terms of Use.
